Breaking News We have uncovered the links between Good Futures Treatment Center in Delray Beach Florida and SMT Health Services (Bergman was a Founder and employee on paper with Owner and CEO, Mark DeSimone. It should be noted that Good Future Treatment Center has had numerous raids and employee convictions.
Breaking News: In its lawsuit, Northstar alleges that Mr. DeSimone and other defendants, who include his wife Leslie M. DeSimone, "engaged in a pattern of fraudulent and deceptive conduct which included repeated acts of mail fraud, wire fraud, securities fraud, theft and other offenses." Northstar cites several alleged instances of paying seemingly unrelated companies various amounts of fees for merger, acquisition, financing and consulting work. Northstar alleges many of the companies were connected to the DeSimones and were used to divert Northstar funds. The lawsuit also alleges that Mr. DeSimone's schemes "falsely inflated"; Northstar's reported earnings which caused the share prices to rise significantly at which time Mr. DeSimone unloaded about 402,000 shares, or nearly all of his equity holdings in the company. The lawsuit also names Jeff D. Bergman, president and chief executive officer of SMT Health Services Inc., Pittsburgh, as a defendant. The lawsuit says Mr. DeSimone used a company called Med-Bill Corp., in which Mr. Bergman was an alleged partner, as a front company to divert Northstar funds.
In a related action, the Commission today instituted and simultaneously settled an administrative proceeding against Jeff Bergman, a business associate of DeSimone, finding that Bergman participated in the falsification of Northstar's 1994 financial statements by providing Northstar with checks and an audit confirmation letter to support the recording of fictitious consulting fees earned by a Northstar subsidiary.
Breaking news: The Commission's order finds that Bergman's conduct resulted in Northstar's overstatement of revenue by $167,750 for fiscal 1994. Without admitting or denying the allegations, Bergman consented to the entry of the Commission's order requiring him to cease and desist from violating or committing any future violations of the antifraud provisions of the federal securities.
